How we operate

At KIDF, we support foreign investors through strategic capital participation and institutional facilitation:

Work closely with state agencies to assess and develop investment opportunities.
Provide equity capital and long-term strategic support to ensure project success.
Operate on a deal-by-deal basis, ensuring flexibility and responsiveness to investor needs.

Our Strategy

Create
We focus on developing new, long-term assets in Kazakhstan, especially infrastructure projects with horizons of up to 20 years.
Co-invest
We invest alongside international partners, typically holding a minority equity stake to reduce investor risk.
Catalyze
We prioritize high-impact projects that stimulate economic growth, support diversification, and generate employment.

Transaction Structures

KIDF offers flexible investment structures to suit the specific needs of each project and partner. Our primary participation models include:

Joint Venture (JV) Model

KIDF and a foreign investor co-invest as equity partners in a newly established or existing joint venture.

This model is eligible for tax incentives under the AIFC legal regime, including:
  • 0% capital gains tax on the sale of shares in AIFC-registered entities
  • 0% withholding tax on dividends from AIFC Participants
  • 0% corporate income tax on qualifying income for AIFC Participants
Joint Fund Structure

KIDF and a foreign investor may establish a jointly managed fund (based on a Collective Investment Scheme license within the AIFC) to co-finance a portfolio of projects.

Key benefits include:
  • 0% corporate income tax on investment income of AIFC-registered funds
  • 0% corporate income tax and VAT on fund management fees
  • Flexible deployment into Kazakhstan-based projects through a regulated AIFC fund manager and approved project pipeline
